Welcome to AIAudit. These Terms of Service ("Terms") govern your access to and use of the AIAudit platform and services (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms.
1. Definitions
- "Service" means the AIAudit platform, including all software, tools, features, and documentation.
- "User", "You", or "Your" means the individual or entity registered to use the Service.
- "We", "Us", or "Our" means SMK SOFTWARE LLC.
- "Content" means any code, repositories, audit reports, data, or other materials uploaded, generated, or stored through the Service.
- "Subscription" means your paid plan and access level to the Service.
2. Acceptance of Terms
By accessing or using AIAudit, you confirm that:
- You are at least 18 years old or have reached the age of majority in your jurisdiction
- You have the authority to enter into these Terms on behalf of yourself or your organization
- You will comply with all applicable laws and regulations
- All information you provide is accurate and current
If you do not agree to these Terms, you may not use the Service.
3. Account Registration and Responsibilities
3.1 Account Creation
- You must create an account to use the Service
- You must provide accurate, complete information during registration
- You must verify your email address before accessing core features
- Each account is personal to you and must not be shared
3.2 Account Security
- You are responsible for maintaining the confidentiality of your account credentials
- You must immediately notify us of any unauthorized use of your account
- We recommend enabling two-factor authentication (2FA) for enhanced security
- You are liable for all activities conducted through your account
3.3 Account Restrictions
- One person may not maintain multiple free accounts
- Organizations must use team/organization accounts for multiple users
- Automated account creation is prohibited
- Accounts may not be transferred or sold without our written consent
4. Service Description
AIAudit provides AI-powered security audit services for code repositories, including:
4.1 Core Features
- Automated security vulnerability scanning
- Code quality analysis
- Dependency vulnerability detection
- Architecture and design pattern review
- Compliance checking (OWASP Top 10, CWE, etc.)
- AI-powered discussion and remediation guidance
- Comprehensive audit reports with severity ratings
4.2 AI-Assisted Features
- Natural language interaction with audit results
- Intelligent finding prioritization
- Automated remediation suggestions
- Contextual security recommendations
4.3 Service Limitations
- Audits are performed by AI agents running on your local machine
- We do not store your source code on our servers
- Audit accuracy depends on code quality and completeness
- AI recommendations are guidance only, not guaranteed solutions
- The Service is not a substitute for professional security consultation
5. User Data and Intellectual Property Rights
5.1 Your Content
- You retain all ownership rights to code and repositories you submit for analysis
- You grant us a limited license to process your code solely to provide the Service
- We do not claim ownership of your intellectual property
- Your code is processed locally and not permanently stored on our servers
5.2 Audit Reports and Results
- Audit reports, findings, and analysis generated by the Service belong to you
- We may retain anonymized, aggregated statistics for service improvement
- You may export and use audit reports for your internal purposes
- You may share audit reports with third parties at your discretion
5.3 Our Intellectual Property
- The AIAudit platform, software, algorithms, and documentation are our property
- You may not copy, modify, reverse engineer, or create derivative works
- Our trademarks, logos, and brand materials may not be used without permission
- We reserve all rights not expressly granted in these Terms
5.4 Feedback and Suggestions
- Any feedback or suggestions you provide become our property
- We may use feedback to improve the Service without compensation to you
- You waive any rights to compensation for feedback
6. Payment Terms and Subscription
6.1 Pricing
- Current pricing is available on our website
- We reserve the right to change pricing with 30 days' notice
- Price changes do not affect your current billing cycle
- Promotional pricing may have specific terms and limitations
6.2 Billing and Payment
- Payment processing is handled through Paddle (our merchant of record)
- You authorize recurring charges for subscription plans
- All fees are non-refundable unless required by law
- Failed payments may result in service suspension or termination
6.3 Subscription Plans
- Free Plan: Limited audits per month, basic features
- Paid Plans: Enhanced audit limits, advanced features, priority support
- Plan limits reset monthly on your billing date
- Overages may be charged or may result in service throttling
6.4 Upgrades and Downgrades
- You may upgrade your plan at any time (prorated billing)
- Downgrades take effect at the end of your current billing period
- Downgrading may result in loss of data exceeding new plan limits
- We will provide reasonable notice before enforcing new limits
6.5 Refund Policy
- Refunds are generally not provided for subscription fees
- Exceptions may be made for service outages exceeding our SLA
- Refund requests must be submitted within 14 days of charge
- We reserve the right to issue refunds at our discretion
7. Service Availability and SLA
7.1 Uptime Commitment
- We strive for 99.5% uptime for paid plans (calculated monthly)
- Uptime excludes scheduled maintenance (announced 48 hours in advance)
- Free plan users receive best-effort availability with no SLA
7.2 Scheduled Maintenance
- Maintenance windows are typically announced 48 hours in advance
- We aim to perform maintenance during off-peak hours
- Emergency maintenance may occur with shorter notice
7.3 Service Modifications
- We may modify, suspend, or discontinue features with reasonable notice
- Critical security updates may be deployed without advance notice
- We will provide migration paths for deprecated features when feasible
7.4 No Warranty
- The Service is provided "as is" without warranties of any kind
- We do not guarantee uninterrupted, error-free, or secure operation
- You use the Service at your own risk
8. Acceptable Use and Prohibited Activities
You agree to use the Service in compliance with our Acceptable Use Policy and not to:
8.1 Prohibited Uses
- Violate any laws, regulations, or third-party rights
- Upload malicious code, viruses, or harmful content
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt the Service or servers
- Use the Service for competitive analysis or benchmarking without permission
- Scrape, crawl, or automatically extract data from the Service
- Resell, sublicense, or redistribute the Service without authorization
- Use the Service to store or transmit illegal content
- Impersonate others or provide false information
8.2 Resource Limits
- You may not exceed rate limits or abuse API endpoints
- Excessive usage may result in throttling or suspension
- Automated tools must respect rate limits and robots.txt
8.3 Security Responsibilities
- You must not attempt to bypass security measures
- Discovered vulnerabilities must be reported responsibly
- Penetration testing requires written authorization
9. Termination and Cancellation
9.1 Termination by You
- You may cancel your subscription at any time through your account settings
- Cancellation takes effect at the end of your billing period
- You remain responsible for fees incurred before cancellation
- You may export your data before account closure
9.2 Termination by Us
- We may suspend or terminate your account for Terms violations
- We may terminate accounts with 30 days' notice for any reason
- Immediate termination may occur for serious violations
- Upon termination, your license to use the Service ends immediately
9.3 Effect of Termination
- You lose access to the Service and your Content
- We may delete your data after a reasonable retention period
- Outstanding fees become immediately due
- Provisions that should survive termination remain in effect
9.4 Data Export
- You should regularly export important data
- We provide data export tools for audit reports and findings
- After account closure, data may not be recoverable
10. Limitation of Liability
10.1 Disclaimer of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SMK SOFTWARE LLC SHALL NOT BE LIABLE FOR:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL
- SERVICE INTERRUPTIONS OR DATA LOSS
- THIRD-PARTY ACTIONS OR CONTENT
- DAMAGES EXCEEDING FEES PAID IN THE 12 MONTHS BEFORE THE CLAIM
10.2 Limitations on Liability
- Our total liability is limited to fees paid in the 12 months preceding the claim
- This limitation applies even if we were advised of possible damages
- Some jurisdictions do not allow liability limitations; local laws may apply
10.3 No Liability for AI Recommendations
- AI-generated recommendations are guidance only, not professional advice
- You are solely responsible for implementing any suggested changes
- We are not liable for consequences of following AI recommendations
- Audit results may contain false positives or miss vulnerabilities
10.4 Force Majeure
- We are not liable for delays or failures due to circumstances beyond our control
- Force majeure includes natural disasters, wars, pandemics, or infrastructure failures
11. Indemnification
You agree to indemnify, defend, and hold harmless SMK SOFTWARE LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of third-party rights
- Content you submit or generate through the Service
- Negligence or willful misconduct
12. Dispute Resolution and Governing Law
12.1 Governing Law
These Terms are governed by the laws of Armenia, without regard to conflict of law principles.
12.2 Dispute Resolution
- Disputes should first be addressed through informal negotiation
- You agree to contact support@guardlane.io before initiating legal action
- We will attempt to resolve disputes amicably within 30 days
12.3 Arbitration
- If informal resolution fails, disputes will be resolved through binding arbitration
- Arbitration will be conducted in Armenia under Armenian Arbitration Court rules
- Each party bears its own arbitration costs unless otherwise awarded
- Class actions and jury trials are waived
12.4 Exceptions to Arbitration
- Either party may seek injunctive relief in court for intellectual property violations
- Small claims court disputes are exempt from arbitration requirements
13. Data Protection and Privacy
- Your use of the Service is subject to our Privacy Policy
- We process personal data in accordance with GDPR and applicable laws
- B2B customers may require a separate Data Processing Agreement
- You are responsible for compliance with data protection laws for data you control
14. Changes to Terms
14.1 Modifications
- We may modify these Terms at any time
- Material changes will be notified via email or in-app notification
- Continued use after changes constitutes acceptance
- If you disagree with changes, you must stop using the Service
14.2 Notice Period
- We will provide at least 30 days' notice for material changes
- Non-material changes (typos, clarifications) may take effect immediately
15. Miscellaneous
15.1 Entire Agreement
These Terms, together with our Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and SMK SOFTWARE LLC.
15.2 Severability
If any provision is found unenforceable, the remaining provisions remain in effect.
15.3 Waiver
Our failure to enforce any right does not waive that right.
15.4 Assignment
You may not assign these Terms without our written consent. We may assign these Terms to any successor or affiliate.
15.5 Third-Party Services
The Service may integrate with third-party services (Firebase, cloud providers). Your use of third-party services is subject to their terms.
15.6 Export Compliance
You may not use the Service in violation of export control laws.
15.7 Government Use
If you are a government entity, additional terms may apply.

- You have read and understood these Terms
- You agree to be bound by these Terms
- You have the authority to accept these Terms
- You understand the limitations and disclaimers herein
